The user ("You" or "Your") and your affiliates shall keep all Proprietary Information (as defined below) confidential and shall not, without prior written consent, disclose such information to any party other than to your officers, directors, employees, affiliates, agents and representatives who need to know such information and who have been advised of the obligations hereunder and have agreed to abide by the terms hereof. You acknowledge that all information contained within this site is and shall remain the exclusive property of Cactus Sky Communications, Inc. and shall be used by You or your affiliates, agents and representatives as the case may be, solely in connection with your discussions with and the provisions of goods and/or services with Cactus Sky Communications and for no other purpose.
You agree to implement and maintain physical, electronic, and procedural safeguards to guard all information and data relating to Proprietary Information to which you have access. Such safeguards shall, at a minimum, comply with applicable federal, state, and local laws and regulations including Title V of the Gramm-Leach-Bliley Act, 15 U.S.C SS 6801 through 6810 ("GLB Act", and the Federal Trade Commission's implementing regulation, Regulation P, 16 C.F.R. Part 313 ("Regulation PE" in particular, as both relate to the disclosure and protection of non-public personal information.
As used herein, "Proprietary Information" shall mean all information, whether written or oral, tangible or intangible, of a confidential or proprietary nature, of or concerning such party and your business and operations, including non-public personal information (as defined under Title V of the Gramm-Leach-Bliley Act, 15 U.S.C SS 6801 through 6810), projections, business plans and strategies, computer software and marketing and sales information, but shall not include any information which (a) was known by You prior to disclosure by the provider of the information, (b) becomes available to You from a source other than the original provider of the information that is not bound by a duty of confidentiality to the provider of the information, or (c) becomes generally available or known in the industry other than as a result your conduct.
